Subscription & Billing Terms

These Subscription & Billing Terms supplement and are incorporated into the AcknowledgePoint Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.

1. SUBSCRIPTION MODEL

AcknowledgePoint provides subscription-based access to the Services. Customers may select a plan based on company size, number of administrators, number of active employees, number of active documents, features, support level, or other plan limits.

Unless otherwise stated, subscriptions are billed on a monthly basis.

2. PLANS

AcknowledgePoint offers the following plans:

Foundation Plan:

  • 1 administrator;
  • 3 active employees, including administrators;
  • 3 active documents; and
  • no subscription charge.

Essentials Plan:

  • 1 administrator;
  • 20 active employees, including administrators;
  • 15 active documents; and
  • $49 per month.

Team Plan:

  • 3 administrators;
  • 50 active employees, including administrators;
  • 40 active documents; and
  • $149 per month.

Professional Plan:

  • 8 administrators;
  • 100 active employees, including administrators;
  • 80 active documents; and
  • $249 per month.

Advanced Plan:

  • 15 administrators;
  • 250 active employees, including administrators;
  • 200 active documents; and
  • $499 per month.

Premier Plan:

  • 25 administrators;
  • 500 active employees, including administrators;
  • 400 active documents; and
  • $899 per month.

Enterprise Plan:

  • 40 administrators;
  • 1,000 active employees, including administrators;
  • 800 active documents; and
  • $1,499 per month.

Administrators count within the active employee allowance and also count against the administrator allowance. AcknowledgePoint may change plan names, features, limits, and prices prospectively. Any changes to active paid subscriptions will be handled according to these Terms, applicable law, and any written agreement.

3. ADD-ONS

Customers may be able to purchase add-ons when plan limits are exceeded or additional capacity is needed.

Standard add-ons may include:

  • Additional administrator: $15 per month each;
  • Additional active employee: $2 per month each;
  • Additional active document: $1 per month each.

Add-ons may be billed monthly, prorated, or charged on the next invoice depending on account configuration.

4. ACTIVE DOCUMENTS

An “active document” means a published document available for assignment or acknowledgement within the Services. Drafts, archived documents, and prior versions may not count as active documents unless AcknowledgePoint states otherwise.

AcknowledgePoint may update how documents are counted if needed for clarity, billing integrity, or product changes.

5. BILLING START DATE

For paid plans, the billing start date is the date Customer signs up for a paid plan, upgrades from a free plan, or otherwise activates paid service, unless a written agreement states otherwise.

AcknowledgePoint may invoice Customer immediately upon signup for a paid plan.

6. BILLING CYCLE

Unless otherwise agreed, Customer is billed monthly based on Customer’s billing start date or billing cycle anchor.

Example: If Customer starts paid service on July 15, Customer may be invoiced on July 15 for the service period July 15 through August 14, and then invoiced again on August 15 for the next service period.

AcknowledgePoint may use calendar-month billing, monthly anniversary billing, annual billing, or custom billing where appropriate.

7. BILLING IN ADVANCE

Unless otherwise stated, subscriptions are billed in advance for the upcoming service period.

8. ELECTRONIC INVOICES

AcknowledgePoint may issue electronic invoices to the billing contact listed in Customer’s account. Customer agrees to receive invoices electronically.

Customer is responsible for keeping billing contact information accurate and current.

9. PAYMENT METHODS

AcknowledgePoint may accept payment by methods made available from time to time, such as:

  • ACH;
  • bank transfer;
  • third-party hosted payment link;
  • credit card through a third-party processor;
  • debit card through a third-party processor;
  • check, if approved;
  • wire transfer, if approved; or
  • other payment methods supported by AcknowledgePoint.

AcknowledgePoint may use third-party billing and accounting platforms, such as QuickBooks or another provider. Customer’s use of third-party payment services may be subject to the third party’s terms and privacy policy.

AcknowledgePoint does not intend to collect or store full credit card numbers directly within the AcknowledgePoint application.

10. PAYMENT TERMS

Unless otherwise stated on the invoice or in a written agreement:

  • payment is due upon receipt;
  • unpaid invoices may become past due after the due date shown on the invoice;
  • AcknowledgePoint may send payment reminders;
  • AcknowledgePoint may place accounts on hold if payment is not received; and
  • Customer remains responsible for all amounts incurred.

For approved customers, AcknowledgePoint may offer Net 7, Net 15, or Net 30 payment terms.

11. TAXES

Fees are exclusive of taxes unless stated otherwise. Customer is responsible for all applicable taxes, duties, levies, and governmental assessments, excluding taxes based on AcknowledgePoint’s net income.

If AcknowledgePoint is required to collect taxes, such taxes may be added to Customer’s invoice.

12. PLAN LIMITS AND OVERAGES

If Customer exceeds plan limits, AcknowledgePoint may:

  • notify Customer;
  • allow a temporary grace period;
  • apply add-on charges;
  • require Customer to upgrade plans;
  • restrict new users, administrators, documents, assignments, or acknowledgements;
  • place Customer on hold until billing is resolved; or
  • take other reasonable steps to maintain plan integrity.

Customer is responsible for reviewing plan usage and ensuring the selected plan remains appropriate.

13. ACCOUNT HOLDS FOR NON-PAYMENT

If an invoice is not paid when due, AcknowledgePoint may place Customer’s account on hold after notice and any applicable grace period.

When an account is on hold, AcknowledgePoint may restrict:

  • new document creation;
  • document publishing;
  • new assignments;
  • employee acknowledgements;
  • adding users;
  • adding administrators;
  • reports;
  • exports;
  • reminders;
  • template access;
  • settings changes; and
  • other administrative features.

AcknowledgePoint may allow access to billing pages, invoices, account status, or support.

14. REACTIVATION AFTER PAYMENT

If Customer pays past-due amounts, AcknowledgePoint may reactivate the account after payment confirmation. Reactivation may not be immediate if payment confirmation is delayed or requires manual reconciliation.

15. REFUNDS

Except as required by law or expressly stated in a written agreement, fees are non-refundable.

AcknowledgePoint does not provide refunds for:

  • unused time in a billing period;
  • unused plan capacity;
  • unused users;
  • unused documents;
  • failure to use the Services;
  • customer configuration issues;
  • cancellation after invoice issuance; or
  • account holds resulting from non-payment or violation of terms.

AcknowledgePoint may issue credits or refunds at its sole discretion.

16. PRICE CHANGES

AcknowledgePoint may change pricing by providing notice before the change applies. Price changes may apply at renewal, on the next billing cycle, or as otherwise stated in the notice.

Customer may cancel before a price change takes effect if Customer does not agree to the new pricing.

17. FREE PLAN

The Foundation Plan is provided at no charge but may be subject to limitations, modification, or discontinuation. AcknowledgePoint may restrict, suspend, archive, or delete inactive Foundation Plan accounts according to its policies.

18. TRIALS

AcknowledgePoint may offer free trials. Trial terms may vary. Unless otherwise stated, trial access may end automatically at the conclusion of the trial period. Customer may need to select a paid plan to continue using paid features after the trial.

19. AUTOMATIC RENEWAL AND CONTINUOUS SERVICE DISCLOSURE

If Customer enrolls in a paid subscription that renews automatically or continues until canceled, Customer authorizes AcknowledgePoint to continue billing Customer at the applicable recurring interval until Customer cancels according to the Cancellation Policy.

Before purchase, AcknowledgePoint should clearly disclose:

  • plan selected;
  • price;
  • billing frequency;
  • recurring nature of the subscription;
  • renewal terms;
  • cancellation method;
  • payment terms;
  • trial terms, if any;
  • add-on pricing; and
  • when billing begins.

20. ANNUAL BILLING

AcknowledgePoint may offer annual billing. Annual subscriptions may be billed in advance and may renew annually unless canceled according to the Cancellation Policy.

21. BILLING DISPUTES

Customer must notify AcknowledgePoint of billing disputes within thirty (30) days after the invoice date. Failure to dispute an invoice within that period may waive the dispute to the maximum extent permitted by law.

Customer must pay undisputed amounts when due.

22. COLLECTIONS

If Customer fails to pay amounts owed, AcknowledgePoint may refer the account to collections or pursue legal remedies. Customer is responsible for reasonable collection costs, attorneys’ fees, interest, and expenses to the extent permitted by law.
